There are two different types of business entities you can choose from when incorporating their business. The two most popular ones are an LLC and a Corporation. I will explain their differences and benefits and disadvantages of each.
Here are the 7 main steps when incorporating your business. It is extremely important to remember to complete each and every step listed here. Doing so will ensure maximum protection for you and your business.
► See attached Resources for Incorporation Checklist.
You should start by doing a name search to make sure the name you choose is suited to your business venture and easily searchable for potential clients.
Once you decide on a business entity structure and a name, it is possible to operate under a name different than the one chose. This is possible – in most states – by filing a DBA or “doing business as” with the state or county in which you are operating.
This is the first form step necessary in incorporating your business - and this is also where an LLC and Corporation differ.
Another difference between the LLC and Corporation models is that many states in the United states require an LLC to have Operating Agreement and a Corporation to have Bylaws. These do not get filed with the secretary of state, but rather are for your own files and reference.
An Employer Identification Number (EIN) is a number that is assigned by the IRS and is used for most of your business needs, including: opening a bank account, applying for business licenses, filing a tax return by mail, and other similar managerial tasks.
A Statement of Information includes fairly basic information about the LLC or Corporation. Think of it as a yearly census for your entity.
Once the business entity is registered with the Secretary of State, it must obtain the necessary licenses and permits. Some states have established websites in providing businesses the information they need to comply with regulatory and permitting requirements.
